Musk says he is considering a SpaceX–Tesla merger. Is it actually likely to happen? If I hold Tesla, what should I watch now?

The Shareholder Vote, Not the Announcement, Is the Real Gate

The report mentions only briefly that Tesla needs approval from 50% of shareholders. It leaves out why that number is such a high bar. Barclays sees the shareholder vote as the biggest obstacle. At last year's annual meeting, about 11% of shares held at brokerages did not vote, and those uncast shares were effectively counted as opposed (Herald Business, Benzinga, 2026-10). Tesla has many retail investors, which makes gathering votes in favor difficult.

The schedule is also missing from the report. Tesla's annual meeting is set for December 3, with a record date of October 13 (Electrek, 2026-10-19). Barclays thinks a merger announcement could come before the meeting. However, the automatic proxy-voting system will not apply to this December vote. Until the terms of a merger take shape, the stock will therefore move on expectations alone.

Three Scenarios

ScenarioConditionWhat it means for Tesla shareholders
All-stock exchangeTesla's special committee approves the exchange ratioBarclays estimates Musk would hold about 37% of the equity and about 56% of the votes. Dilution if the ratio favors SpaceX
Part-cash acquisitionSpaceX arranges financingThe roughly $400 billion in required capital flagged in the report and the capex burden turn directly into debt
Collapse or delayShareholder vote falls short, regulatory review, post-midterm hearingsExpectations priced in by SpaceX's +8% after hours could unwind

Wedbush puts the probability of completion in 2027 at 80-90%, but prediction markets are lower (cited by beinsure, 2026-10). Even among experts, estimates of the probability differ widely.

Valuation Pressure Shakes the Exchange Ratio

On Reddit, there was criticism that the forward PEs are 170x and 163x respectively. Since that number comes from a community comment, it is hard to treat as firm. Still, the direction is clear. If two companies that are both richly valued merge, neither side's shareholders gets a bargain. One side has to give way for the votes to be gathered.

There is also the control issue. One analysis says Musk holds about 85% of the voting power at SpaceX through Class B shares (Yahoo Finance column, 2026-10). His pledge to recuse himself over conflicts of interest conflicts with the concentration of voting power after a merger.

What Should Investors Do?

  • Tesla holders should check the agenda for the December 3 meeting and the timing of any formal merger announcement. First, check in the proxy statement how votes on the merger will be counted.
  • SpaceX's +8% after hours blends merger expectations with its first quarterly profit. Rather than chasing on the merger alone, it is safer to wait for the exchange ratio to be disclosed.
  • If you want to buy SpaceX's earnings rather than the merger, watch whether the guidance (first-quarter 2027 revenue of $33-37 billion) holds.
  • If the October 27-28 FOMC signals a December hike, financing costs rise and the merger logic weakens too.
